Cost of Incorporating in Delaware

If you are looking to incorporate in Delaware, here is a DIY guide that may come in handy, as well as tips, input, costs and fees. The breakdown is as follows:


  • Filing fee of $89.
  • It's likely you're not living in DE so you would need a registered agent to accept service of process on your behalf in the event that you're ever sued. You can find a registered agent service between $70-$200 online.
  • $50 for certified copy of incorporation. A bank will need this copy when you open an account. Some states require a copy when you apply for foreign qualification in a particular state.
  • Out of state filing fees vary depending on the state, it can be anywhere from $100-$400.

  • I recommend using an attorney for this process because you'll get sound advice on the amount of shares you should authorize and the price for those shares. A mistake can be VERY costly.

    New York State Has Granted Its First Bit License

    Some exciting news has come out of New York state. Circle Internet Financial, The Boston based startup, backed by Goldman Sachs, was officially granted New York’s first “BitLicense”, on September 22, 2015. New York’s BitLicense enables its holders the ability to offer digital currency services to any of its clients or affiliates within the state.

    What are "IP-Box" Regimes?

    What is it?

    Generally speaking, an “IP-Box” regime (sometimes called an “Innovation-Box”) is a country’s grant of a low tax rate on profits made from a company’s intellectual property. The intellectual property covered can include patents, copyrights, and trademarks, depending upon the country. There are also “Patent Box” regimes that are specifically for patents (one of which is specifically discussed below). These tax rates are set by each country and can vary, but even be as low as 5%. Ireland was the first country to create a patent box regime in 2000. Since then, other countries, such as China, Spain, Netherlands, and Belgium, among others, have enacted their own versions.

    Why is it important?

    Many companies make significant profits off the licensing and transfer (sales and assignment) of their intellectual property. Technology, software, and pharmaceutical companies are just some examples of big industries that count IP revenues as a large portion of their profits, specifically those made from their patent holdings.....
